These Terms of Service (“Legal Terms”) constitute a legally binding agreement between you (“you” or “User”) and VizNow (“Company,” “we,” “us,” or “our”) concerning your access to and use of the VizNow website and services. VizNow operates the website https://www.viznow.ai (the “Site”) and provides AI-powered video enhancement and visualization services (collectively, the “Services”).

1. Acceptance of Terms

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Legal Terms. If you do not agree to these Legal Terms, you must discontinue use of the Services immediately. We reserve the right to modify these Legal Terms at any time. Changes will be indicated by updating the “Last updated” date. Your continued use of the Services constitutes acceptance of the revised terms. The Services are intended for users 18 years of age or older.

2. Description of the Services

VizNow provides an AI-powered platform that allows users to:

  • Upload video and audio content
  • Analyze spoken content and narrative structure
  • Generate visual overlays, motion graphics, charts, and layout enhancements
  • Edit and export enhanced video outputs

VizNow provides automated, assistive tools only. The Services do not constitute professional, financial, legal, or investment advice.

3. AI Processing & User Content

User Content Ownership

You retain all ownership rights to the videos, audio, and content you upload (“User Content”).

By using the Services, you grant VizNow a limited, non-exclusive, non-transferable license to process your User Content solely for the purpose of providing the Services.

VizNow does NOT use user-uploaded videos or audio to train public or third-party AI models.

AI-Generated Output

  • Outputs are generated automatically based on your input and system rules
  • Results may vary and are not guaranteed to be error-free
  • You remain responsible for reviewing, editing, and approving final outputs before distribution

4. Intellectual Property Rights

Our Intellectual Property

We own or license all intellectual property rights in the Services, including software, algorithms, UI design, workflows, trademarks, and branding (“Company IP”).

Nothing in these Legal Terms grants you ownership of Company IP.

License to Use the Services

Subject to compliance with these Legal Terms, we grant you a limited, non-exclusive, revocable, non-transferable license to access and use the Services for personal or internal business purposes.

You may not:

  • Copy, reverse engineer, or exploit the Services
  • Use the Services to build competing products
  • Resell or sublicense the Services without permission

5. User Representations

By using the Services, you represent and warrant that:

  • All information you provide is accurate and current
  • You own or have rights to all uploaded User Content
  • Your use does not violate any law or third-party rights
  • You will not use the Services for illegal, misleading, or abusive purposes

We reserve the right to suspend or terminate accounts that violate these representations.

6. User Accounts

You are responsible for safeguarding your account credentials and all activity under your account.

We may suspend or terminate accounts that:

  • Pose security or legal risks
  • Engage in abusive or fraudulent behavior

7. Payments, Subscriptions, and Billing

Certain features require a paid subscription.

  • Subscriptions renew automatically unless canceled
  • Billing cycles are disclosed at purchase
  • Fees are non-refundable except where required by law

We reserve the right to adjust pricing with reasonable notice.

8. Prohibited Uses

You may not use the Services to:

  • Upload content you do not have rights to
  • Circumvent security or access restrictions
  • Scrape, mine, or reverse engineer the system
  • Use automated scripts or bots
  • Harass, defraud, or mislead others
  • Generate or distribute unlawful or deceptive content

VizNow assumes no responsibility for User Content.

9. Feedback

Any feedback, suggestions, or ideas you submit (“Feedback”) may be used by VizNow without restriction or compensation.

10. Service Availability

We do not guarantee uninterrupted availability.

The Services may be modified, suspended, or discontinued at any time.

11. Termination

We may suspend or terminate your access to the Services at our sole discretion, with or without notice.

Upon termination:

  • Your license to use the Services ends
  • We may delete your account data subject to applicable law

12. Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • VIZNOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO VIZNOW IN THE SIX (6) MONTHS PRIOR TO THE CLAIM.

14. Indemnification

You agree to indemnify and hold VizNow harmless from any claims arising out of:

  • Your User Content
  • Your use of the Services
  • Your violation of these Legal Terms

15. Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect and use personal data.

16. Governing Law

These Legal Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

17. Dispute Resolution

Any dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Delaware, unless otherwise required by law.

Class actions are waived to the fullest extent permitted by law.

18. Miscellaneous

  • These Legal Terms constitute the entire agreement
  • If any provision is unenforceable, the remainder remains valid
  • No partnership or agency relationship is created
